Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the HubSpot CMS modules, themes, and related assets ("Assets") provided by HUB ("we", "us", "our") through the HubSpot Template Marketplace and any associated documentation, support channels, or websites.

By installing, downloading, or using any of our Assets, you ("you", "Customer") agree to these Terms. If you do not agree, do not install or use the Assets.

2. License

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, worldwide license to use the Assets on HubSpot portals you own or operate, in accordance with the HubSpot Marketplace Terms of Use.

You may:

  • Install and use the Assets on HubSpot portals you control.
  • Modify the Assets for use on your own HubSpot portals.
  • Use the Assets on client portals if you are a HubSpot agency or partner, provided each portal has a valid installation.

You may not:

  • Resell, sublicense, or redistribute the Assets, in original or modified form.
  • Remove or obscure any copyright, attribution, or license notices in the Asset code.
  • Use the Assets to build a competing template, theme, or module for distribution.
  • Reverse engineer the Assets to circumvent any licensing or marketplace restrictions.

3. Pricing and payment

All Assets listed under our provider profile are currently offered free of charge. We reserve the right to introduce paid Assets in the future; existing free installations will not be retroactively charged.

4. Support

We provide support as described in the Asset's setup documentation. Support is offered during the support hours listed there and is limited to:

  • Installation and configuration questions
  • Bug reports
  • Documented features of the Asset

Support does not include custom development, integration with third-party services not documented in the setup guide, or modifications to your HubSpot portal beyond the Asset itself.

5. Updates

We may release updates to the Assets from time to time. Updates are delivered through the HubSpot Marketplace and may include bug fixes, security patches, or new functionality. We are not obligated to release any specific update or to maintain backward compatibility indefinitely.

6. Disclaimer of warranties

The Assets are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Assets will be error-free, uninterrupted, or compatible with every HubSpot configuration or third-party integration.

7. Limitation of liability

To the maximum extent permitted by applicable law, HUB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Assets, including but not limited to lost revenue, lost data, or business interruption. Our total cumulative liability under these Terms shall not exceed the amount you paid us for the Asset in the twelve (12) months preceding the claim, or USD $50 if no payment was made.

8. Termination

These Terms remain in effect while you use the Assets. We may suspend or terminate your license if you materially breach these Terms. Upon termination, you must uninstall the Assets from all your HubSpot portals.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via the contact email associated with your HubSpot Marketplace account or by updating the "Last updated" date above. Continued use of the Assets after changes take effect constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the courts of Kyiv, Ukraine.
